Agreement to Terms

By using any of SMM Quality Panel services ("Services") you agree to be bound by the following Terms of Service ("Terms"). SMM Quality Panel (further referred as "we", "us", "our") reserves the right to change or amend these Terms at any time without notice. We encourage you to review these Terms regularly, as your continued use of the Services will confirm your acceptance of the revised Terms. If you do not want to be bound to these Terms, please do not sign up for the Services.

For material changes that significantly affect your rights or obligations, we will use commercially reasonable efforts to provide notice (for example by email, dashboard notice, or website banner) before the updated Terms take effect. If you do not agree with a material update, you must stop using the Services and may request account closure.

Users will be notified of significant updates through our official Telegram channel. Continued use of the platform after such updates constitutes acceptance of the revised Terms.

Membership

To be able to use this service you must be at least 18 years old or recognized under applicable law as being able to form legally binding agreements.

Registration

To fully use our service you must register as a member by providing complete and accurate full name, password and email address. You are not allowed to use someone else's name or a name that violates any third party rights.

Emails

Primary means of communication between you and us will be through emails. Thus, you acknowledge that we may use your email to notify you about upcoming system updates, new product releases, changes of your account status etc., through emails. We encourage you to carefully read our emails to stay informed. We will not carry any responsibility if some information did not reach you as a result of failing to read our emails.

Account Security

You must safeguard confidentiality of your access credentials. You are also responsible for all activities that occur under your account. SMM Quality Panel will not be held responsibility for an unauthorized access to your account. If you become aware of any unauthorized access to your account, you must change your password and notify us as soon as possible.

Account Ownership

If you are signing up on behalf of your employer then account owner is your employer. You warrant that you have authority to bind your employer to these Terms.

You may not sell, transfer, or assign your account to any third party. SMM Quality Panel may, at its discretion, terminate accounts that are transferred without authorization.

SMM Quality Panel reserves the right, to the extent of its knowledge and ability, to determine the rightful account owner in case of disputes. If we are not able to determine the rightful owner, we can terminate an account until the resolution between conflicting parties is found. If there are some amounts due, the person or persons determined to be the rightful owners will be obliged to pay them.

Billing and Payment Information

Payments

All Services are prepaid and will not begin until full payment is received. No credits for unperformed services are possible. SMM Quality Panel does not issue either partial or full refunds, including the cases when your services are suspended or terminated before the end of the Services.

Notwithstanding the foregoing, where mandatory law grants non-waivable refund or cancellation rights, those statutory rights will prevail. We may also, at our sole discretion, provide refunds or account credits in limited cases such as duplicate charges, confirmed billing errors, or verified service-delivery failures directly caused by our platform.

Prepayment

It is your responsibility to ensure that your payment information is up to date, and that all invoices are paid on time. You agree to pay for the Services in advance of the time period during which such Services are provided.

Fraud

It is a violation of this Terms for you to misuse or fraudulently use credit cards, charge cards, electronic funds transfers, electronic checks, or any other payment method. SMM Quality Panel may report any such misuse or fraudulent use, as determined in our sole discretion, to governmental and law enforcement authorities, credit reporting services, financial institutions and/or credit card companies.

Modification to the pricing and terms

SMM Quality Panel retains the right to modify plans pricing and terms at any time without additional notice. All changes will be posted in the corresponding sections of the website.

Where changes materially affect current customers, we will use commercially reasonable efforts to provide advance notice before the change becomes effective. Pricing changes for existing paid periods will generally apply from the next billing cycle, unless otherwise required by law.

Subscription and Cancellation

If you have subscribed to our services, your subscription will automatically renew according to the chosen plan (monthly or annually) unless canceled prior to the renewal date.

To cancel your subscription, log in to your account or contact our support team at support@smmqualitypanel.com. No refunds will be issued for periods already paid, except where required by law or in cases of confirmed billing errors or service delivery failures caused by our platform.

Online Payment Security

The personal information you provide (your name, address, telephone number, e-mail, credit or debit card number) is confidential and exempt from disclosure. Your credit or debit card information is encrypted and isn't saved on our website.

We recommend you to check if your browser is safe enough for making payments online.

System Updates

We reserve the right to update the system. Updates may include, but not limited to, adding or removing functionalities, bugs fixes etc. There are no warranties that updated version will not contain bugs or will not affect your use of the Services. We can initiate update at any time without additional notice. SMM Quality Panel is not responsible for any issues arising from system updates, including code modifications. Restoration of modified code is your responsibility and any associated costs are to be met by you.

Use of Customer's Name and Trademarks

SMM Quality Panel owns the platform, but we will not claim any rights for your trade names, trademarks, or data uploaded. With your consent we may use your trade name, trademark, full name and/or your web-site URL in our live example section for advertising purposes.

Tenant Responsibilities

The following outlines the responsibilities of tenants using our platform:

Tenants are fully responsible for the services they provide to their clients. Any disputes, claims, or legal issues arising from tenant-managed services are the sole responsibility of the tenant. The platform acts solely as a software provider and is not liable for tenant-client interactions.

Prohibited Activities

In addition to other restrictions outlined in these Terms, you agree that you will not:

Social Platform Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable terms, policies, and community guidelines of third-party platforms (including social media platforms) and all applicable laws. You must not use the Services to engage in fraudulent, deceptive, manipulative, or unlawful activity, including fake engagement or content rights violations. We may suspend or terminate accounts involved in such activity.

API and Automation Rules

If we provide API access, your API credentials are confidential and must not be shared outside your authorized organization. You must follow published rate limits, technical restrictions, and security requirements. We may throttle, suspend, or revoke API access at any time to protect platform security, stability, and legal compliance.

Disclaimer of Warranties

This Service is "as is" and there is no warranty of any kind either express, implied or statutory, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. SMM Quality Panel does not warrant that the functions of the Service will meet your requirements or that operation of the Service will be uninterrupted or error free. You take all responsibility for selecting this Service to achieve your intended goals. SMM Quality Panel does not carry any responsibility for third party servers operation. This disclaimer of warranty constitutes an essential part of this agreement.

Limitation of Liability

Under no circumstances and under no legal theory, tort, breach of contract or warranty or otherwise, shall SMM Quality Panel be liable to the user or any other party for any indirect, special, punitive, incidental, or consequential damages of any character including, without limitation, damages for work stoppage, computer failure or loss of revenues, profits, goodwill, use, data or other intangible or economic losses. In no event will SMM Quality Panel be liable for any damages even if you or any other party shall have informed us of the possibility of such damages. You assume total responsibility for your use of the Service. Your only remedy against SMM Quality Panel for dissatisfaction with the Services is to stop using the Service.

To the maximum extent permitted by law, our aggregate liability for all claims relating to the Services will not exceed the total amount you paid to us for the Services during the twelve (12) months immediately preceding the event giving rise to liability.

Copyrights

SMM Quality Panel supports protection of intellectual property rights of other individuals. In accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable laws, in our Service it is not allowed to upload content that infringes any third party's copyrights. In appropriate circumstances and at our sole discretion, we can terminate accounts which are deemed to be repeat infringers of a third party's copyrighted works.

DMCA Notice Procedure

If you believe content available through the Service infringes your copyright, send a DMCA notice to support@smmqualitypanel.com including: (1) your signature (physical or electronic), (2) identification of the copyrighted work, (3) identification of the allegedly infringing material and its location, (4) your contact information, (5) a good-faith statement, and (6) a statement that the notice is accurate and made under penalty of perjury. We may remove or disable access to the content and, where appropriate, notify the affected account holder.

Counter-Notice

If your content was removed due to a copyright notice and you believe it was removed in error, you may submit a counter-notice with legally required information. We may restore content where appropriate in accordance with applicable law.

Suspension, Termination, and Compliance Controls

We may suspend or terminate access to the Services immediately where necessary to prevent fraud, abuse, security incidents, legal violations, sanctions risks, or significant operational harm. Where practical, we may provide notice and an opportunity to remediate before termination.

You represent and warrant that you are not subject to trade sanctions or export restrictions that prohibit use of the Services. You must not use the Services in violation of applicable sanctions, export, anti-money laundering, or anti-fraud laws.

After termination, we may retain or delete account data in accordance with our Privacy Policy and legal obligations. Where technically feasible, we may provide a limited period for data export.

Indemnification

You agree to defend, indemnify, and hold harmless SMM Quality Panel and its affiliates, officers, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Services, your violation of these Terms, your violation of law, or your infringement of any third-party rights.

Force Majeure

We are not liable for delays or failure to perform due to causes beyond our reasonable control, including internet or infrastructure outages, third-party service failures, labor disputes, natural disasters, government actions, and security incidents.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where SMM Quality Panel is legally established, excluding conflict-of-laws rules, unless mandatory consumer protection laws in your place of residence require otherwise.

Before filing a formal legal claim, both parties agree to attempt to resolve the dispute in good faith by contacting Ticket Support. If unresolved, disputes shall be resolved through binding arbitration in Cebu City, Philippines, conducted in English, with one arbitrator per party. The arbitration award will be final and enforceable in any competent court.

Entire Agreement

This document constitutes the entire and exclusive agreement between the parties with respect to the subject matter hereof and supersedes all other communications, whether written or oral.
